Clinic
The Community Law
Clinic provides corporate, transactional, and intellectual property attorney
services to New Jersey nonprofit corporations, start-up for-profit businesses,
and Charter Schools. The Clinic's primary focus is on businesses
and organizations that provide services to and opportunities for the poor
and low income people in the City of Newark and nearby urban areas. The Clinic provides initial corporate organizational work (drafting corporate
documents, certificates of incorporation or formation, by-laws, operating
agreements and organizational minutes), non-profit status filings, charity
registration, Charter School formation, real estate transactions, intellectual
property and entertainment law advice and assistance for these business
entities. In addition, the Clinic recently formed a relationship
with the Enterprise Development Center of the New Jersey Institute of Technology
(EDC). The EDC is a technology-oriented, small business incubator
that provides technical assistance, managerial counseling and access to
capital, as well as the opportunity to reduce expenses by sharing services
and facilities. Students provide transnational and intellectual property
legal assistance to eligible EDC companies including: business formations,
incorporations, and structuring; contract drafting and review; loan closings;
equipment and facilities lease drafting and review; intellectual property
audits and licensing; copyright, trademark, trade secret and patent assistance;
bankruptcy counseling; confidentiality agreements; preparation and revision
of employee manuals; non-compete and non-disclosure agreements; board of
directors and board of trustee guidance; and joint venture agreements.
Furthermore, the Clinic strives to make a contribution to the cause of
social change and social justice by representing resident groups and community
development corporations (CDCs) regarding urban redevelopment planning.
